Interactive Mutual Protection Agreement

This Mutual Protection & Non-Circumvention Agreement is entered into between HL7 Interfacing Inc., a licensed and fully insured staffing company headquartered at 105-07 66th RD APT 4C, Forest Hills NY 11375 whose CEO is Asmir Hasanbegovic, and the undersigned external staffing partner:

1. Strict Confidentiality: All candidate information including pay rates, contract terms, and engagement details are confidential and may not be shared with any third party without express written consent from HL7 Interfacing Inc.
2. Non-Circumvention: You agree not to contact, hire, or engage our engineers directly or through intermediaries without involving HL7 Interfacing Inc. This includes all methods of communication (email, phone, LinkedIn, etc.) during and for 24 months after our engagement.
3. Liquidated Damages: Violation of this agreement will result in an immediate penalty equal to one year's compensation (calculated as the engineer's hourly rate × 2,080 hours). Example: $100/hr × 2,080 = $208,000 penalty.
4. Mandatory Inclusion: HL7 Interfacing Inc. must be included in all communications regarding our engineers, including but not limited to interview scheduling, technical discussions, and contract negotiations.
5. Extended Term: These protections remain in effect for 24 months from last engagement, covering both direct and indirect circumvention attempts through subsidiaries, affiliates, or other third parties.
